End User License Agreement

1. Introduction

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Logos Tax Systems, Inc. ("Company," "we," "our," or "us") governing your access and use of the Logos Tax Systems web and mobile application (the "App").

By creating an account, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, you may not use the App.

2. License Grant

Subject to your compliance with this Agreement, Logos Tax Systems, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your personal or internal business use.

You may not:

• Copy, modify, or distribute any part of the App without written permission.
• Reverse engineer or attempt to extract the source code.
• Use the App for any illegal or unauthorized purpose.

3. Integration with QuickBooks Online

By connecting your QuickBooks Online (QBO) account, you authorize the App to access certain accounting and transaction data for the purpose of generating personalized tax and business guidance.

Access is read-only and governed by Intuit's API and your QBO account permissions. The App never alters or transmits financial data without your explicit consent.

4. Use of AI and Automated Analysis

The App leverages artificial intelligence (AI) and data processing algorithms to interpret financial patterns and generate insights. AI outputs are designed to assist in understanding your tax position and business performance — not to replace professional advice.

• Data is used solely for the purpose of analysis and recommendations within your account.
• No training or external sharing of user data occurs.
• Results are probabilistic and may not always reflect official tax interpretations.

You acknowledge that AI-generated insights are advisory in nature and that final decisions should be confirmed with a qualified tax professional.

5. User Responsibilities

You agree to:

• Provide accurate and complete information.
• Maintain the confidentiality of your login credentials.
• Use the App only for lawful purposes and in compliance with applicable tax and privacy laws.

6. Intellectual Property

All content, software, and materials in the App are owned or licensed by Logos Tax Systems, Inc.. Nothing in this Agreement transfers ownership rights to you.

7. Disclaimers

Logos Tax Systems, Inc. is not a CPA firm or a substitute for professional tax advice. Any insights or recommendations provided by the App are for informational and educational purposes only. The App is provided "as is" without warranties of any kind, whether express or implied.

8. Limitation of Liability

To the fullest extent permitted by law, Logos Tax Systems, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App or any reliance on its output.

9. Termination

We may suspend or terminate your access at any time if we reasonably believe you have violated this Agreement or applicable laws.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
